1 Purpose
This Exclusivity Agreement ("Agreement") establishes the exclusive service relationship between IntelliLeads | Xyotek LLC ("Service Provider") and the client ("Client") for digital marketing and SEO services within a defined territory.
2 Exclusivity Terms
Upon signing up for the Dominance Suite package, Client receives exclusive rights to Service Provider's services within their designated service area. Service Provider agrees:
- Not to provide the same or substantially similar services to any direct competitor of Client within the defined territory
- To maintain exclusivity for the duration of the active subscription
- To provide first right of refusal if a competing inquiry is received
- To clearly define industry categories and geographic boundaries
3 Territory Definition
The exclusive territory is defined as the specific geographic area agreed upon during onboarding. This typically includes:
- Primary service city and surrounding suburbs
- Agreed-upon radius from business location
- Specific zip codes or county boundaries
4 Industry Categories
Exclusivity applies to the specific industry category in which Client operates. Examples include but are not limited to: HVAC, plumbing, electrical, roofing, landscaping, dental, chiropractic, legal services, real estate, and other defined categories.
5 Client Obligations
To maintain exclusivity, Client agrees to:
- Maintain an active Dominance Suite subscription
- Provide timely responses to Service Provider communications
- Implement recommended strategies in good faith
- Notify Service Provider of any business expansion plans
6 Termination
Exclusivity terminates upon:
- Cancellation of Dominance Suite subscription
- Failure to maintain account in good standing
- Written mutual agreement between both parties
- Breach of terms by either party
Upon termination, Service Provider may offer services to competitors within the former territory after a 30-day transition period.
Important: This exclusivity applies only to the Dominance Suite package. Clients on Starter Pack, Local Foundation, or Eve Standalone packages do not receive exclusivity guarantees. Upgrade to Dominance Suite to lock in your territory.
